John's practice includes corporate transactions and mergers and acquisitions for growth-oriented companies, developers, and investors, alongside his work as Georgia counsel to a large-scale corporate client, advising on the corporate and entity-structuring side of that relationship as well as the real estate side.

This work sits alongside, and is informed by, the firm's transactional real estate practice. A business sale or acquisition involving commercial property, a ground lease, or a large-scale operating entity is rarely a pure corporate matter or a pure real estate matter, and having both handled under one roof avoids the gaps that show up when they're split across separate advisors.

LLC or corporation: which is right for my business in Georgia?

It depends on how many owners there are, how you want profits taxed, and whether outside investment is likely. Most small, closely held Georgia businesses choose an LLC for its flexibility and pass-through taxation. A corporation makes more sense when the business plans to raise outside capital or issue stock options.

Do I need an operating agreement if I'm the only owner?

Yes. It still matters for banking, succession planning, and clarity about what happens to the business if you become incapacitated or die, even with a single owner.

What's the difference between a business attorney and an M&A attorney?

In practice, often nothing. The same attorney frequently handles both, and formation and operating-agreement work naturally leads into acquisition and sale work for the same client years later.
